Standard Terms and Conditions

1. Acceptance of These Terms

These Standard Terms and Conditions (the "Terms") apply to Parley's Custom Tunes, the custom diesel and gasoline tuning service offered by Parley's Diesel Performance ("Parley's," "we," "us," or "our"), and to your use of https://www.parleysdieselperformance.com/ (the "Website"). In these Terms, "you" and "Customer" mean the person who buys, requests, installs, or uses a Parley's Custom Tune, and anyone acting on that person's behalf.

When you submit a tune request (online, by phone, or on a paper form), buy a tune, install or run a tune, or use the Website, you agree to these Terms. If you do not agree, do not order, install, or use any Parley's Custom Tune and do not use the Website.

2. Changes to These Terms

We may revise these Terms at any time, and we do not have to notify you before we do. The version posted on the Website, with its effective date, is the one in force. If you keep using the Website or our tuning services after a change is posted, you accept the revised Terms. Please check this page each time you place an order or use the Website.

3. The Parley's Custom Tunes Service

Parley's Custom Tunes are engine and/or transmission calibration files ("Tunes") built for a specific diesel or gasoline truck or other vehicle and delivered for use with SCT, HP Tuners, and independent laptop flashing. Tunes may be delivered electronically or installed by Parley's, and we may offer custom tuning labor on a vehicle at our shop.

The availability, features, and expected results of a Tune depend on the vehicle, its condition, and the modifications installed on it. Any power, torque, fuel-economy, or performance figures we discuss are estimates, not promises.

Dyno sheets, sample results, customer reviews, and other performance figures shown on the Website or in our marketing come from particular vehicles under particular conditions. Results on your vehicle will vary with its condition, modifications, fuel, altitude, weather, load, and the equipment used to measure them, and no specific gain is guaranteed.

Delivery and turnaround times we give are good-faith estimates, not guarantees. Tunes for newly released vehicles, unusual combinations, or software that a tuning platform does not yet support may take longer, and some vehicles cannot be tuned at all.

4. Ordering, Payment, and License to Use Tunes

To order a Tune, you must give us complete and accurate information about your vehicle, including its year, make, model, engine, transmission, VIN, current software, and all installed modifications. A Tune built from incomplete or wrong information may not work properly, and Parley's is not responsible for problems that result.

Payment in full is due when you order unless we agree otherwise in writing. Prices are subject to change until we accept your order.

If a Tune has to be rebuilt because the vehicle, software, device, or modification information you gave us was incorrect or incomplete, or because the vehicle's software was changed after you ordered, the rework may be billed as a new or additional purchase.

Parley's may refuse or cancel any order at its discretion, including an order that contains a pricing or listing error, that appears to be for an unlawful use, or that conflicts with these Terms. If Parley's cancels an order before any Tune or product is delivered, Parley's will refund the amount you paid for that order.

A Tune is licensed to you, not sold. When you pay in full, Parley's grants you a limited, non-exclusive, non-transferable, revocable license to use the Tune on the one vehicle it was built for, under these Terms. The license cannot be transferred to another vehicle or to another person. Parley's and its licensors keep all ownership rights in every Tune.

5. VIN and ECU Locking; Tunes Are Non-Transferable

Each Tune, and any tuning device used with it, may be locked to the VIN and/or engine control module (ECM/ECU) or transmission control module (TCM) of a single vehicle. A locked Tune or device cannot be used on any other vehicle.

Tunes are non-transferable. A Tune cannot be moved to a different vehicle, and it does not transfer to a new owner when the vehicle is sold. Parley's does not offer paid transfers or re-licensing; a different vehicle or a new owner who wants a Parley's Custom Tune must purchase a new Tune. Parley's is not responsible for a Tune or device that cannot be reused.

Dealer service, recalls, software updates, or control-module replacements can overwrite or conflict with a Tune. Before any such work, you should return the vehicle to its stock software. If the Tune must be rebuilt for the same vehicle after a software change, the rebuild is covered during the 90-day support period described in these Terms; after that period, it is subject to the $150 retune charge.

6. Vehicle Condition Requirements

Parley's performs custom tuning only on vehicles that are in sound, safe, and properly maintained condition. We may refuse, delay, or stop tuning work on any vehicle that does not meet this standard. Examples of conditions that may lead us to refuse a vehicle include:

Fluid leaks of any kind, including engine oil, coolant, fuel, brake fluid, power steering fluid, transmission fluid, or differential fluid;
Worn, mismatched, or unsafe tires, or damaged or improperly installed suspension components;
Missing or non-working gauges or sensors needed for safe tuning, such as fuel pressure, exhaust gas temperature (EGT), coolant temperature, and, on gasoline engines, oxygen (O2) or air/fuel ratio sensors and knock sensors;
Faulty, damaged, or improperly installed wiring;
Missing or non-working seat belts or other occupant restraints; and
An engine that misfires, runs rough, or otherwise shows signs of poor maintenance or existing mechanical failure.

You are responsible for fixing any such condition before tuning begins. Our decision to tune a vehicle is not an inspection or a statement that the vehicle is free of defects.

7. Off-Road Use, Emissions, and Legal Compliance

IMPORTANT — PLEASE READ CAREFULLY

Unless Parley's states in writing that a specific product is legal for use on public roads in your state, Parley's Custom Tunes are intended solely for off-road use and/or sanctioned competition use in vehicles that will not be driven on public roads or highways.

Parley's does not build or sell Tunes that disable, remove, or defeat emissions control equipment or emissions monitoring on any diesel or gasoline vehicle that is registered or operated on public roads. This includes diesel systems such as diesel particulate filters (DPF), exhaust gas recirculation (EGR), and selective catalytic reduction (SCR/DEF), gasoline systems such as catalytic converters, oxygen (O2) sensors, evaporative emissions (EVAP), and secondary air injection, and the on-board diagnostic (OBD) monitors for any of these.

Federal law (including the Clean Air Act), state law, and local law may prohibit removing, disabling, or modifying emissions control equipment, or changing engine software in a way that affects emissions, on any vehicle used on public roads. Installing or using a Tune on such a vehicle may be illegal and may cause the vehicle to fail emissions inspection or be refused registration.

Calling a vehicle a "race," "competition," or "off-road" vehicle, or signing a waiver, does not by itself make it exempt from emissions laws. A vehicle that is registered, plated, or driven on public roads is generally treated as a street vehicle under those laws.

You alone are responsible for knowing and following all laws and regulations that apply to your vehicle and how you use it, including emissions, inspection, registration, and safety rules. Parley's does not represent that any Tune complies with emissions or other laws for on-road use. You agree that you will not use any Tune in violation of law, and Parley's may refuse any order it believes is intended for an unlawful use.

8. Customer Responsibilities

By ordering or using a Tune, you agree to:

Provide complete and accurate vehicle, VIN, software, and modification information, and tell us promptly about any later changes to the vehicle;
Follow all installation, update, and operating instructions we provide, and save a copy of your vehicle's original (stock) software before installing a Tune;
Keep the vehicle properly maintained and monitor gauges and readings such as EGT, fuel pressure, coolant temperature, transmission temperature, and, on gasoline engines, air/fuel ratio and knock activity;
Use only the fuel type and grade the Tune was built for (for example, the octane rating specified for a gasoline Tune, or ethanol blends such as E85 only with a Tune and fuel system built for them), and switch to the matching Tune or return to stock before using a different fuel;
Operate the vehicle safely and within the limits of its components, including the transmission, clutch, driveline, cooling system, brakes, and tires;
Use only a charged, stable battery or power supply and avoid interrupting the vehicle or device while software is being written;
Stop driving, return the vehicle to its stock software, and contact Parley's right away if the vehicle shows warning lights, abnormal gauge readings, unusual noises, or any other sign that it is not running normally after a Tune is installed;
Have any aftermarket parts installed correctly, by a qualified professional if you are unsure, since Parley's is not responsible for damage caused by improper installation or by defects that existed before tuning; and
Comply with all applicable laws, as described in these Terms.

9. Assumption of Risk

Modifying a vehicle's engine or transmission calibration increases stress on the engine, transmission, and drivetrain and can affect the vehicle's reliability, safety, emissions, fuel economy, and service life. On gasoline engines, using fuel with a lower octane rating than the Tune calls for can cause detonation (knock) that may seriously damage pistons, rings, and other engine parts, and running ethanol blends such as E85 requires a compatible fuel system and a Tune built for that fuel. On any engine, contaminated or incorrect fuel can cause damage. You understand these risks and choose to install and use a Tune entirely at your own risk as the vehicle owner or operator.

Parley's is not responsible for how a tuned vehicle is driven. You are solely responsible for operating it safely and lawfully, including obeying speed limits and towing and load ratings, and Parley's does not encourage reckless or unlawful driving of any kind.

10. Datalogs and Vehicle Data

To build, troubleshoot, or revise a Tune, Parley's may ask you to record and send datalogs, stock or current software files, device serial numbers, and similar vehicle information. Providing requested datalogs is a condition of revision and troubleshooting support, and Parley's may close a support request if requested information is not provided. If you do not respond to a datalog or revision request within 30 days, Parley's may treat your Tune as complete.

You allow Parley's to keep and use the vehicle data and files you send to provide, support, and improve its tuning services. Parley's will handle personal information as described in its Privacy Policy at https://www.parleysdieselperformance.com/privacy-policy.

11. Third-Party Tuning Devices and Software

Tunes are loaded with tuning devices and software made by other companies. Parley's does not make those products and is not responsible for their defects, compatibility limits, firmware or software updates, discontinued support, or failures, including a device that will not load a Tune or a vehicle that will not start after a failed write. Parley's will make reasonable efforts to help resolve these problems, which may include contacting the manufacturer, but any warranty on those products comes only from their manufacturer.

It is your responsibility to confirm before ordering that your device and its serial number are supported for your vehicle. Third-party device and platform licenses, unlocks, and credits are governed by their manufacturers' terms and are non-refundable once used.

12. Disclaimer of Warranties

EXCEPT AS PARLEY'S EXPRESSLY STATES IN WRITING, ALL TUNES, TUNING LABOR, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT ANY WARRANTY OR GUARANTEE OF ANY KIND. TO THE FULLEST EXTENT ALLOWED BY LAW, PARLEY'S DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Parts and hardware made by others and sold by Parley's are covered only by whatever warranty, if any, their manufacturer provides. Parley's does not add its own warranty to those products.

13. Effect on Manufacturer and Powertrain Warranties

Installing a Tune or performing any calibration change may void, limit, or otherwise affect the vehicle manufacturer's warranty, a powertrain warranty, an extended warranty, or a service contract, and the change may remain detectable even after the vehicle is returned to stock software. Parley's does not replace or reinstate any such warranty and is not responsible for any warranty claim that is denied because a Tune was installed or detected.

14. Limitation of Liability

IMPORTANT — PLEASE READ CAREFULLY

TO THE FULLEST EXTENT ALLOWED BY LAW, PARLEY'S, ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INJURY TO PERSONS OR DAMAGE TO PROPERTY, OR FOR ANY DAMAGE TO AN ENGINE, TRANSMISSION, TURBOCHARGER, SUPERCHARGER, INJECTOR, FUEL SYSTEM, CATALYTIC CONVERTER, DRIVETRAIN, OR OTHER VEHICLE COMPONENT, THAT ARISES FROM THE PURCHASE, INSTALLATION, USE, MISUSE, OR ABUSE OF ANY TUNE, TUNING SERVICE, OR PRODUCT.

IN NO EVENT WILL PARLEY'S BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF USE, LOST INCOME OR PROFITS, TOWING, RENTAL, OR LOSS OF DATA, WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF PARLEY'S WAS TOLD SUCH DAMAGES WERE POSSIBLE. THE SAME LIMITS APPLY TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.

IF PARLEY'S IS FOUND LIABLE FOR ANY REASON, ITS TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID PARLEY'S FOR THE TUNE OR SERVICE THAT GAVE RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so some of these limits may not apply to you. If any part of this section is found invalid or unenforceable, the remaining limits will apply to the fullest extent allowed by law.

15. Refunds, Returns, and Cancellations

Software sales are final. Because each Tune is custom-built for a specific vehicle and delivered as software, all sales of Tunes, calibration files, and other software are final and non-refundable.

Tuning hardware. You may request a refund on tuning hardware (such as tuning devices, cables, and other physical items) within 30 days from the purchase date. To request a hardware refund, contact Parley's within that 30-day period at [email protected] or 801-938-4891. Approved hardware returns are subject to a 25% restocking fee, and returned items must be authorized by Parley's in advance. After 30 days from the purchase date, hardware sales are also final.

Approved hardware refunds will be issued to the original payment method. A hardware refund does not include, and has no effect on, the price of any Tune or software, which remains non-refundable.

Before returning any hardware, you must contact Parley's for return authorization. A tuning device must be returned to stock (with any Tune uninstalled from the vehicle and the device unmarried from it) before it is returned. Unless Parley's agrees otherwise, you are responsible for return shipping costs, and original shipping charges are not refundable.

Chargebacks and payment disputes. If you have a problem with an order, please contact us first so we can try to fix it. Disputing a charge for a Tune or software that has been delivered, or for a refund that is not available under these Terms, is a breach of these Terms; Parley's may end the related Tune license and stop providing support, and may provide the payment processor with your order records and these Terms.

16. Shipping and Delivery

Tunes are delivered electronically, by email or through the tuning platform, or are installed at our shop. If you have not received a Tune within the estimated time, check your spam folder and then contact us so we can resend it.

Physical products are shipped to the address you provide, and delivery times are carrier estimates. Risk of loss passes to you when the carrier delivers the package. If a package arrives damaged or a product appears defective, photograph the packaging and product and contact Parley's promptly, before installing or using the product, so we can help with a carrier claim or a manufacturer warranty claim.

17. Tune Revisions and Customer Support

Parley's will make reasonable efforts to help you install your Tune and to address drivability issues with it. Tune revisions and support are included for 90 days from the date the Tune is delivered. After that 90-day period, any revision or retune is subject to a $150 retune charge.

Included revisions cover adjustments to drivability and preference (for example, shift feel or throttle response) for the vehicle and parts listed in your order. Revisions needed because you added or changed parts (such as a cold air intake, headers or exhaust, injectors, fuel system components, a turbocharger, a supercharger or turbo kit, or tire size), or because you changed fuel type, octane grade, or switched to an ethanol blend such as E85, are not included and may be subject to the $150 retune charge or require a new Tune.

Support is available by phone at 801-938-4891, Monday through Friday, 9:30 a.m. to 5:00 p.m. MST, or by email at [email protected]. Parley's may decline to support a vehicle that has been altered, re-flashed by others, or used in a way that conflicts with these Terms.

18. Intellectual Property; No Reverse Engineering or Sharing

Every Tune, calibration file, and related piece of software, data, and documentation is the proprietary property and confidential information of Parley's and/or its licensors and is protected by copyright and other laws. The Parley's Diesel Performance and Parley's Custom Tunes names, logos, and Website content belong to Parley's.

You may not, and may not allow anyone else to: (a) copy, share, sell, resell, rent, sublicense, post, or otherwise distribute any Tune; (b) use a Tune on any vehicle other than the one it was licensed for; (c) read, extract, decompile, disassemble, decrypt, reverse engineer, or modify any Tune, or try to derive its contents or methods; or (d) get around any VIN lock, license key, or other protection. Any of these actions immediately ends your license without a refund, and Parley's may pursue every remedy available under law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Parley's and its owners, employees, and agents from and against any claims, demands, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) that arise from or relate to: your purchase, installation, or use of any Tune or service; your vehicle and how it is operated; your violation of any law or regulation, including emissions laws; or your breach of these Terms.

20. Governing Law and Venue

These Terms, your use of the Website, and any dispute related to Parley's Custom Tunes are governed by the laws of the State of Utah, United States of America, without regard to its conflict-of-law rules. You agree that any lawsuit relating to these Terms or our products and services will be brought only in the state or federal courts located in or serving Washington County, Utah, and you consent to the jurisdiction of those courts.

21. General Provisions

If any part of these Terms is found unenforceable, that part will be enforced to the greatest extent allowed and the rest of the Terms will remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with any written quote or order confirmation from Parley's, are the entire agreement between you and Parley's about Parley's Custom Tunes. Section headings are for convenience only.
